  • A small German high-tech company faces a M&A tran­sac­tion and needs all avail­able infor­ma­tion about the intel­lec­tual property (IP) port­folio of circa 100 inter­na­tional patent fami­lies for the prospec­tive customer, an inter­na­tional large-scale enter­prise
    from the USA, within 14 days
  • All IP due dili­gence infor­ma­tion is avail­able, however, it is necessary to have access to various data sources like the IP manage­ment system, internal customer data and inter­na­tional patent data­bases (e.g. EPO, USPTO)

Inno­va­tive approach

  • In a team the points of the IP due dili­gence check­list are prio­ri­tised and there are daily updates in order to adhere to the ambi­tious time sche­dule
  • The IP manage­ment system Ipendo® is the most important data source. It is a web-based soft­ware tool, which has already been used by the client, but the new objec­tive makes an altered usabi­lity possible and thereby allows for a short-term repre­sen­ta­tion
    of the IP port­folio in real-time. The follo­wing data sets are, for example, extracted:
    • data on pending and issued patents,
    • current status of patent gran­ting proce­dures,
    • infor­ma­tion about patent holders, inven­tors and trans­fers of rights
  • Addi­tional infor­ma­tion is obtained from internal customer data (expenses for patent appli­ca­tions, gran­ting and main­ten­ance) and inter­na­tional patent data­bases

Typical effect/result

  • Within only 14 days an inter­na­tional IP port­folio of circa 100 patent fami­lies was clearly repre­sented and depicted in its current status for the IP due dili­gence evalua­tion process
  • The prospec­tive customer was impressed by the high quality and the complete repre­sen­ta­tion of the IP port­folio
  • After two months the M&A tran­sac­tion was success­fully completed as a corpo­rate acqui­si­tion with an US$ amount in the double-digit million area
